Jairo Lamatina is a corporate and securities attorney whose practice focuses on mergers and acquisitions, securities regulation, capital markets transactions, corporate governance, and general corporate matters. He advises public and private companies, investors, boards of directors, and management teams on a broad range of transactional issues. Jairo has substantial experience representing clients in public and private securities offerings, SEC reporting and compliance matters, corporate governance issues, registration rights transactions, and strategic acquisitions involving public company consideration. His combined capital markets and M&A background allows him to provide practical guidance on securities law issues that frequently arise in acquisitions, financings, recapitalizations, and other significant corporate transactions.
Jairo practiced at several leading international law firms, including Sullivan & Cromwell, Skadden, Latham & Watkins, and Linklaters. His practice has included work across the United States, Latin America, and Asia, giving him a global perspective on capital markets, securities, and cross-border transactional matters. Jairo received his J.D. from Vanderbilt University Law School and his B.A. in Economics and International Affairs, cum laude with Special Honors, from The George Washington University. He is admitted to practice in New York.
Mark Saulino is a transactional tax attorney with 30+ years of experience advising public companies, private companies, and individuals on federal and state tax matters. Mark assists Firm clients in optimizing acquisition structures in M&A transactions and in negotiating tax representations, warranties and covenants in purchase and sale agreements. Beyond M&A transactions, Mark regularly advises Firm clients on tax structuring issues arising in private investment funds, investments, real estate and affordable housing transactions, financings, joint ventures, executive compensation and incentive arrangements, restructurings, and other complex business transactions. He works closely with clients and deal teams to identify practical, tax-efficient solutions that support broader business objectives and is adept at communicating complex concepts to clients in a practical, common-sense manner.
Mark practiced in the Business Tax group at O’Melveny & Myers LLP and at several prestigious mid-sized law firms in the Los Angeles area, and was a partner in a Southern California-based tax boutique law firm, prior to establishing Saulino Tax Counsel. Mark has a B.S. in Accounting, University of Delaware a J.D. from New York University School of Law and LL.M. in Taxation from New York University School of Law.
Nicole Zajack is an experienced employment attorney who advises businesses on a broad range of workplace matters, including employee hiring, compensation arrangements, employment agreements, workplace policies, investigations, compliance, workforce reductions, and employment-related aspects of corporate transactions. Nicole has extensive experience counseling employers through complex personnel issues, litigation risk management, human resources compliance, and day-to-day employment decisions affecting growing businesses.
Nicole practiced labor and employment law at Stradling Yocca Carlson & Rauth and Keesal Young & Logan, where she represented employers in both litigation and counseling matters. She later served in senior in-house legal roles at Smart & Final and Glossier, ultimately serving as Acting General Counsel during a transformative corporate acquisition and overseeing global employment compliance initiatives. Nicole graduated with honors from New York University and earned her J.D. from UCLA School of Law. She is admitted to practice in California, New York, and the District of Columbia.
Anne brings more than two decades of international experience in corporate, M&A, and financial transactions. Anne spent the first 6 years of her legal career at White & Case where she focused on M&A and corporate finance. She then held senior in-house legal and transactional roles in Europe at such companies as Cargill, Nomura and Credit Suisse. At Cargil, Anne worked on cross border M&A. As a Transactions Manager at Nomura in London, Anne worked on equity and equity-based investments in the energy and telecommunications sectors. Serving as Legal Director at Strategic Risk Solutions at Credit Suisse in Paris, she structured niche financial and insurance products, including structured products and derivatives, and managed compliance across the group's legal departments. For fifteen years, she also taught international law as a university lecturer in France.
At Paracuellos Law Group, Anne focuses on cross border and domestic U.S. M&A matters as well as structuring and drafting complex partnership arrangements, legal opinion practice for fund formation and financing transactions and complex commercial contract work.
Anne earned her J.D. from UCLA School of Law, where she was elected to the Order of the Coif, and her B.S., with distinction, from the University of Wisconsin–Madison.
Elizabeth Hudson is a seasoned transactional attorney with extensive experience advising emerging growth companies, technology businesses, investment funds, real estate sponsors, and private investors on a broad range of corporate, commercial, and real estate matters. Her practice spans corporate formation and governance, commercial contracting, privacy and data protection, investment fund transactions, real estate acquisitions, financings, and day-to-day business counseling.
Elizabeth brings substantial experience in investment fund and real estate transactions, including fund formation, fund investments, due diligence, corporate structuring, and transactional execution. Her broad transactional background allows her to support clients through all stages of a business’s lifecycle, from formation and growth through investment, acquisition, and exit.
Elizabeth practiced with Dewey Ballantine LLP. Elizabeth graduated with distinction in all subjects from Cornell University and received both her Juris Doctor and Master of Laws (LL.M.) in International and Comparative Law from Duke University School of Law. She is admitted to practice in New York and is authorized to practice U.S. law in Germany
