• Representing both institutional and individual investors purchasing LP interests in venture capital, private equity and hedge funds, including negotiation of side letters.
• Representing fund sponsors in the organization and start up of new investment funds, including preparation of GP agreements, LP agreements, management agreements, and private placement memoranda.
• Representing venture capital fund sponsors making investments in portfolio companies.
• Representing private equity fund sponsors in acquiring and divesting minority, majority and entire interests in portfolio companies.

• Representing start ups in raising various series of financing from investors, including advising on term sheets and negotiations with investors, drafting subscription documents and other offering documents and advising on securities compliance matters.
• Experienced with standard SAFEs, convertible notes, National Venture Capital Association (NVCA) form documents as well as all manner of custom documents.
