Amanda Paracuellos

Founder & Principal

Amanda is an experienced corporate and transactional lawyer who has represented start-ups to large, publicly held companies, in a wide variety of business and transactional matters including M&A, joint ventures, securities offerings, private equity financings, corporate restructurings, corporate governance, commercial contracts, PE and hedge fund formation and investments and technology licensing. Amanda's transactional experience spans a broad range of industries from life science and healthcare to cannabis to e-commerce and digital media.

Amanda began her career practicing in the area of corporate, securities and intellectual property transactions at Arnold & Porter LLP in Washington, DC and later became a partner in the Corporate & Transactional practice at Crowell & Moring, LLP in Orange County, CA. Amanda also spent one year as General Counsel for an LA-based media company. Amanda received her law degree, with highest distinction, in 1996 from the University of Iowa College of Law where she served as a member of the Iowa Law Review. Amanda received her undergraduate degree in 1993 from the University of Michigan where she studied English and Political Science.

 

Andrew J. Diehl

Principal

Andrew is a business lawyer with significant experience advising clients on their corporate, transactional and securities matters, including with respect to partnerships and joint ventures, debt and equity financings, corporate governance issues, and various commercial agreements and undertakings. He works with clients in a range of industries, and has particular expertise related to private investment funds and other private investments, representing both sponsors and investors. Andrew was previously a lawyer at international law firm Goodwin Procter LLP, where he practiced out of its Boston headquarters in its private investment funds and real estate groups. In addition to his time in private practice, Andrew was previously in-house counsel at AEW Capital Management, L.P., a global real estate investment management firm. Andrew received his law degree from New York University School of Law and his undergraduate degree from University of Richmond.

 

Brigid Brookman

Principal

Brigid is a real estate attorney with extensive experience in all aspects of commercial real estate transactions, including acquisitions, dispositions, real estate joint ventures, financing, and leasing. Throughout her career, Brigid has represented a broad range of clients, from large institutional investors to small family-owned companies, having worked at both international law firm, Latham & Watkins LLP, and most recently, at Allen Matkins, a law firm headquartered out of Los Angeles and known for its expertise in the commercial real estate sector. Having also served as in-house counsel for a real estate investment trust (REIT), Brigid is known for a client-focused approach in analyzing, negotiating and executing complex agreements and other documents relating to the ongoing operation and management of commercial property. Brigid received her law degree from the University of Southern California Gould School of Law and her undergraduate degree from the University of California, Berkeley. 

 

Randi Maurer

Of Counsel

Randi is a seasoned commercial contracts attorney who has drafted and negotiated 1000+ tech, IP, and operations related contracts, including software licenses, revenue sharing, and app distribution agreements. Randi worked as in-house counsel for AT&T for 24 years. Her last assignment at AT&T was with DIRECTV, where Randi was responsible for drafting and negotiating tech and revenue sharing agreements with leading publicly held tech companies including Google, Apple, Samsung, Amazon, and Roku. Other assignments included conducting labor arbitrations and defending various AT&T entities in employment and other litigation matters in state and federal courts.

Randi received her law degree from Loyola Law School and her undergraduate degree from the University of California, Los Angeles.

Early in her career, Randi worked as an Associate Attorney at Perkins Coie, an international law firm headquartered in Seattle, Washington that is recognized as an Am Law 50 firm. At Perkins Coie, Randi provided labor and employment advice and counsel and defended employment-related litigation matters filed against publicly held corporations, including Alaska Airlines, Fujisawa USA, The Honey Baked Ham Company, and Smart and Final.
